1. ACCEPTANCE OF TERMS AND CLICKWRAP CONSENT

These Terms of Use constitute a legally binding agreement between you and Black Pantera LLC a Florida limited liability company. By accessing browsing registering for an account purchasing or attempting to purchase any product from the Black Pantera website or any related digital property the Site you represent warrant and agree that you are at least eighteen years of age that you have read understood and voluntarily accepted these Terms of Use and that you agree to be legally bound by them.

Completion of any transaction requires affirmative clickwrap acceptance confirming agreement to these Terms the Privacy Policy the Cookie Policy and the Warranty and Returns Policy. If you do not agree you must refrain from using the Site. Your acceptance is enforceable under the laws of the State of Florida and the Federal Arbitration Act.

2. AGE RESTRICTION AND ELIGIBILITY

The Site content and products are strictly intended for adults eighteen years of age or older. By accessing or purchasing you represent and warrant that you meet this requirement that you will not permit any minor to access or use the Site or products and that any misrepresentation of age voids all warranties rights and claims. 3. NATURE OF PRODUCTS AND ASSUMPTION OF RISK

You may not modify interfere with scrape data from attempt unauthorized access to impersonate others circumvent security or fraud systems upload harmful code or use the Site in connection with unlawful activity. Violations may result in termination legal action and financial liability.

You are responsible for maintaining the confidentiality of account credentials and for all activity conducted under your account. You agree to provide accurate information and to promptly notify Black Pantera of any unauthorized use. Black Pantera may suspend or terminate accounts suspected of fraud abuse or violation of these Terms.

7. INTELLECTUAL PROPERTY OWNERSHIP

All content on the Site including text images video audio graphics product descriptions designs trademarks logos trade dress software source code interfaces and compilations is owned by or licensed to Black Pantera LLC and is protected by United States and international intellectual property laws. No ownership interest is transferred to you.

8. LIMITED LICENSE

Black Pantera grants you a limited non exclusive non transferable revocable license to access and use the Site solely for personal non commercial purposes. This license does not permit copying modification distribution resale reverse engineering or exploitation of any Site content. All rights not expressly granted are reserved.

9. USER GENERATED CONTENT

You may submit reviews testimonials comments feedback or other content User Generated Content. You represent that you own or control all necessary rights and that such content does not violate law or third party rights. By submitting content you grant Black Pantera a worldwide perpetual irrevocable royalty free fully sublicensable license to use reproduce modify publish distribute display and exploit such content for any lawful purpose. Black Pantera does not endorse User Generated Content and assumes no responsibility for it. Black Pantera reserves the sole discretion to moderate refuse remove or delete any User Generated Content without notice.

10. PRODUCT INFORMATION PRICING AND AVAILABILITY

Product descriptions pricing and availability may change without notice and may contain errors including typographical or inventory errors. Display of products does not constitute a binding offer. Black Pantera reserves the right to correct errors cancel orders limit quantities or refuse sales at any time.

11. ORDER FORMATION AND ACCEPTANCE

Your submission of an order constitutes an offer to purchase. Acceptance occurs only when Black Pantera confirms the order and processes payment. Black Pantera may decline or cancel orders for any reason including fraud suspicion inaccurate information or regulatory concerns.

12. PAYMENT PROCESSING

Payments are processed through third party payment processors. Black Pantera does not control and is not responsible for the actions outages or errors of such providers. Payment methods may be preauthorized at checkout.

13. SHIPPING DELIVERY AND RISK OF LOSS

Shipping times are estimates only. Risk of loss transfers to you when products are delivered to the carrier. Black Pantera is not responsible for delays carrier errors customs issues or loss except where required by law.

14. RETURNS REFUNDS AND EXCHANGES

Due to hygiene and safety considerations opened unsealed or used intimate products are not eligible for return or refund. All returns require prior authorization. Unauthorized returns may be refused or destroyed. These conditions are a material part of the contract of sale.

15. WARRANTY

Eligible products may include a limited warranty as described in the Warranty and Returns Policy. Coverage excludes misuse neglect improper handling or unauthorized modification. Black Pantera may deny claims that do not meet policy requirements.

16. NO MEDICAL OR THERAPEUTIC CLAIMS

Black Pantera does not provide medical advice or therapeutic guarantees. No statements create any medical or health related warranty.

17. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law all products and services are provided AS IS except for any express limited warranty. All implied warranties including merchantability and fitness for a particular purpose are disclaimed. No statement by staff affiliates or partners creates a warranty.

18. LIMITATION OF LIABILITY

To the maximum extent permitted by law Black Pantera shall not be liable for indirect incidental special consequential punitive or exemplary damages including personal injury emotional distress humiliation embarrassment data loss profit loss or reputational harm. Total liability shall not exceed the amount paid by you for the product giving rise to the claim. You expressly assume all risks associated with personal use.

19. INDEMNIFICATION

You agree to defend indemnify and hold harmless Black Pantera LLC its members managers officers employees agents and affiliates from any claims damages losses liabilities costs or expenses arising from your use of the Site breach of these Terms violation of law or infringement of third party rights.

20. THIRD PARTY SERVICES AND LINKS

The Site may integrate or link to third party websites services or tools including payment processors analytics platforms advertising services and logistics providers. Black Pantera does not control endorse or assume responsibility for third party services and shall not be liable for their content actions or availability.

21. FRAUD AND ABUSE PREVENTION

Black Pantera reserves the right to investigate suspicious activity reject abusive claims deny refunds report fraud to authorities and restrict access for violations. Submission of false claims constitutes grounds for termination and legal action.

22. MANDATORY INTERNAL DISPUTE RESOLUTION

Before initiating arbitration you must submit a written dispute notice to disputes at blackpantera dot com including your full name order number and a detailed description. You agree to participate in good faith internal resolution for at least fifteen business days. Failure to comply waives the right to pursue further action.

23. BINDING ARBITRATION

Except where prohibited by law all disputes shall be resolved exclusively by binding arbitration under the Federal Arbitration Act. Arbitration shall take place in Miami Florida in English before a single neutral arbitrator. The decision shall be final binding and confidential.

24. CLASS ACTION WAIVER

You agree that claims may be brought only in your individual capacity and not as a plaintiff or class member in any class collective representative or consolidated action. The arbitrator may not consolidate claims.

25. JURY TRIAL WAIVER

To the extent any dispute is heard in court you and Black Pantera knowingly and voluntarily waive any right to a trial by jury.

26. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Florida and applicable federal law. Any non arbitrable dispute shall be brought exclusively in state or federal courts located in Miami Dade County Florida.

27. ASSIGNMENT

Black Pantera may assign or transfer these Terms in whole or in part in connection with a merger sale restructuring or asset transfer without notice. You may not assign your rights without prior written consent.

28. FORCE MAJEURE

Black Pantera shall not be liable for failure or delay caused by events beyond reasonable control including natural disasters acts of government labor disputes power failures or internet outages.

29. SURVIVAL

Provisions concerning intellectual property licenses disclaimers limitation of liability indemnification dispute resolution arbitration class action waiver governing law and any provisions by their nature intended to survive shall survive termination.

30. MODIFICATION OF TERMS

Black Pantera may modify these Terms at any time by posting updated terms. Continued use of the Site constitutes acceptance of the modified Terms.
